1. Acceptance of Terms

By accessing or using BaselineBook, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services. These Terms constitute a legally binding agreement between you and BaselineBook. Please read them carefully before using the platform.

2. Platform Nature & Marketplace Status

BaselineBook is a technology platform that facilitates connections between tennis coaches, clubs, and players. BaselineBook does not employ coaches, operate facilities, or provide tennis instruction. BaselineBook is a marketplace.

All coaches, clubs, and academies listed on the platform are independent third-party service providers. They are not employees, partners, agents, joint venturers, or franchisees of BaselineBook. The services you receive from coaches, clubs, or academies are provided solely by those independent parties, not by BaselineBook.

Our services include:

• Booking private and group lessons with coaches
• Reserving tennis and pickleball courts at clubs and facilities
• Registering for clinics, camps, and group training programs
• Entering tournaments and competitive events
• Purchasing club memberships
• Browsing and connecting with coaches, clubs, and academies

3. User Accounts

You must create an account to use most features of BaselineBook. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Accounts are available for players, coaches, clubs, and academies. Each account type has different capabilities and responsibilities on the platform. You may not create multiple accounts of the same type or impersonate another person.

4. Minor Players & Parental Consent

BaselineBook is not directed to children under the age of 13. Minors between the ages of 13 and 17 may only use the platform with the express consent of and under the supervision of a parent or legal guardian.

Parents and legal guardians must create and manage accounts on behalf of minor players. By creating an account for a minor or by permitting a minor to use your account, you:

• Agree to bind the minor to these Terms of Service as if the minor were a party hereto
• Represent that you have the legal authority to consent on behalf of the minor
• Accept full responsibility for all activities undertaken by the minor on the platform
• Agree to indemnify, defend, and hold harmless BaselineBook from and against any claims, damages, losses, or expenses arising from the minor's use of the platform or participation in any activities booked through the platform
• Acknowledge that you assume all risks of injury to the minor arising from participation in tennis or pickleball activities booked through BaselineBook

Important notice regarding minors: The enforceability of liability waivers and releases on behalf of minors varies by state and jurisdiction. BaselineBook makes no representation that any such waiver is enforceable under applicable law. Parents and guardians should consult independent legal counsel regarding the scope and limitations of any such releases in their jurisdiction.

5. Medical Fitness Representation

By using BaselineBook to book or participate in any tennis or pickleball activity, you represent and warrant that:

• You are in sufficiently good physical health to safely participate in the tennis or pickleball activities you book through the platform
• You have consulted with a qualified healthcare provider if you have any medical condition, injury, disability, or other health concern that could be affected by physical activity
• You are not aware of any physical condition that would make your participation in tennis or pickleball activities unsafe or inadvisable
• You accept sole responsibility for determining whether any particular activity is safe and appropriate for your current physical condition

BaselineBook assumes no responsibility for any injury, illness, or adverse health event arising from your participation in activities booked through the platform, including any such event attributable to a pre-existing condition that you failed to disclose or address before participating.

6. Assumption of Risk

You acknowledge and agree that tennis and pickleball are physical activities that carry inherent risks of injury, illness, and death. These risks include, but are not limited to:

• Sprains, strains, and muscle tears
• Joint injuries, including knee, ankle, shoulder, and wrist injuries
• Tennis elbow and other overuse injuries
• Heat-related illness, including heat exhaustion and heat stroke
• Impact injuries from balls, racquets, or other equipment
• Slips, trips, and falls on court surfaces
• Cardiovascular events, including cardiac arrest
• Injuries caused by other participants or spectators
• Injuries resulting from defective or improperly maintained equipment or facilities
• Any other risk inherent in athletic or competitive activity

You voluntarily assume all such risks, whether known or unknown, and whether or not caused by the negligence of BaselineBook, coaches, clubs, academies, or other participants. This assumption of risk applies to all activities booked or discovered through BaselineBook, including lessons, clinics, camps, court reservations, and tournaments.

7. Bookings & Registrations

When you book a lesson, reserve a court, or register for a program through BaselineBook:

• You agree to pay the listed price plus any applicable platform fees
• Bookings are confirmed upon successful payment or, for free sessions, upon registration
• Pending bookings that are not completed within the specified time window (typically 15 minutes) will be automatically cancelled and the reserved spots released
• Package and bundle purchases (e.g., weekly, monthly, or full program packages) are subject to the purchase mode set by the coach or club for that program

8. Payments & Fees

All payments on BaselineBook are processed securely by Stripe, Inc. By making a payment, you agree to Stripe's Terms of Service.

• Platform fees: BaselineBook charges a service fee on transactions to operate the platform. Fees are displayed before you confirm any booking.
• Coach and club payouts: Coaches and clubs receive payments through Stripe Connect. BaselineBook does not hold or have access to their bank account information.
• No stored payment credentials: Your credit card and banking details are handled entirely by Stripe. BaselineBook does not store, process, or have access to your full card number, CVV, or bank account details.
• Currency: All prices are displayed and charged in US dollars unless otherwise stated.

9. Cancellations & Refunds

Cancellation and refund policies vary by service type:

• Lessons: Cancellation policies are set by individual coaches (e.g., free cancellation up to 24 hours before the lesson). Late cancellations may not be eligible for a refund.
• Court bookings: Cancellation policies are set by individual clubs. Refunds for timely cancellations are processed automatically through Stripe. Late cancellations may incur fees.
• Clinics, camps, and programs: Cancellations are always permitted. Refunds are issued automatically if cancelled within the coach's or club's cancellation window. Late cancellations will not receive a refund.
• Tournaments: Refund policies are set by tournament organizers and displayed at the time of registration.
• Memberships: Membership cancellation terms are set by the issuing club.

When a refund is issued, it is processed through Stripe and returned to your original payment method. Refund processing times depend on your bank or card issuer.

10. Coach, Club & Academy Obligations

Coaches, clubs, and academies on BaselineBook are independent service providers, not employees or agents of BaselineBook. By registering on the platform, each coach, club, and academy represents, warrants, and agrees that they:

• Hold valid certifications: Coaches represent that they hold all certifications, licenses, and credentials required or advertised for the services they offer, including but not limited to USPTA, PTR, USTA, or other recognized tennis coaching certifications as applicable
• Maintain liability insurance: Coaches and clubs maintain adequate general liability insurance coverage for the activities they offer through the platform, and will provide proof of such coverage upon request
• Background checks: Coaches represent that they have undergone or will undergo appropriate background screening and are not prohibited from working with participants of any age group they serve
• SafeSport compliance: Coaches and clubs working with minors comply with all applicable SafeSport, USA Tennis, and other safe sport policies and training requirements, including mandatory reporting obligations
• Safe conditions: Clubs and facility operators maintain their courts, equipment, and premises in safe and serviceable condition and promptly address any known hazards
• Maintain accurate availability, pricing, and program information on the platform
• Comply with all applicable federal, state, and local laws, regulations, and licensing requirements
• Set and enforce their own cancellation policies in a fair and transparent manner
• Manage their Stripe Connect account for receiving payments

Any misrepresentation of credentials, certifications, insurance status, or compliance is grounds for immediate termination of the coach's or club's account and may give rise to claims for indemnification as set forth in Section 12 below.

11. No Warranties About Coaches or Facilities

While BaselineBook may verify certain credentials, BaselineBook does not guarantee, warrant, or endorse the qualifications, skills, safety, or suitability of any coach or facility listed on the platform.

Any credential verification displayed on the platform (such as certification badges or background check indicators) is provided for informational purposes only. Such verification reflects information provided by the coach or club at the time of onboarding and may not reflect current status. BaselineBook does not continuously monitor or re-verify credentials after initial display.

You are solely responsible for independently verifying the qualifications, insurance status, background, and suitability of any coach, club, or facility before engaging their services or participating in any activity. BaselineBook assumes no liability for any harm arising from your reliance on information displayed on the platform.

12. Indemnification

By all users: You agree to defend, indemnify, and hold harmless BaselineBook, its owners, officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the platform
• Your participation in any tennis or pickleball activity booked through the platform
• Your violation of these Terms of Service
• Your violation of any applicable law, regulation, or third-party right
• Any content you submit, post, or transmit through the platform
• Any injury, property damage, or other harm caused by you or a minor under your supervision

Additional indemnification by coaches and clubs: In addition to the general indemnification above, coaches, clubs, and academies agree to indemnify and hold harmless BaselineBook from and against any claims, damages, losses, or expenses arising from:

• Any bodily injury, death, or property damage suffered by players, participants, or third parties during or in connection with activities offered through the platform
• Negligence, recklessness, or willful misconduct by the coach, club, or their employees, agents, or subcontractors
• Any misrepresentation of credentials, certifications, insurance coverage, or compliance status
• Failure to maintain safe conditions, adequate insurance, or required certifications
• Any violation of SafeSport policies or mandatory reporting obligations involving minor participants

13. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose or in violation of these terms
• Submit false, misleading, or fraudulent information
• Attempt to circumvent the platform to avoid fees (e.g., arranging off-platform payments for services found through BaselineBook)
• Interfere with or disrupt the platform's operation or other users' experience
• Scrape, harvest, or collect data from the platform without authorization
• Create fake accounts, reviews, or bookings
• Harass, abuse, or discriminate against other users
• Misrepresent your identity, qualifications, certifications, or affiliation with any organization

14. Intellectual Property

The BaselineBook name, logo, and all related content, features, and functionality are owned by BaselineBook and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the platform without our express written permission.

Content you upload to the platform (such as profile photos, program descriptions, or club information) remains yours. By uploading content, you grant BaselineBook a non-exclusive, worldwide license to display and use that content in connection with operating the platform.

15. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. BaselineBook does not warrant that the service will be uninterrupted, secure, or error-free, or that any data or information will be preserved or free from loss.

BaselineBook expressly disclaims any and all warranties, express or implied, with respect to the services, qualifications, conduct, or safety practices of any coach, club, academy, or other third party accessible through the platform.

16. Limitation of Liability

To the fullest extent permitted by applicable law, BaselineBook and its owners, operators, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of data, loss of profits, loss of bookings, personal injury, property damage, or any other tangible or intangible losses, arising out of or in connection with your use of the service, regardless of whether BaselineBook has been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, strict liability, or otherwise).

BaselineBook is not responsible for any loss, corruption, or unauthorized access to personal information or data stored on the platform. We are not liable for the actions, conduct, quality, or safety of services provided by coaches, clubs, academies, or any third parties accessible through the platform. All transactions, interactions, and disputes between users are solely between those parties.

Liability cap: Our total aggregate liability for any and all claims arising from or related to the use of the service shall not exceed the greater of: (a) the total fees paid by you to BaselineBook in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

The foregoing limitations of liability shall not apply to claims arising from BaselineBook's own gross negligence or willful misconduct. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; in such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

17. Mandatory Arbitration & Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Binding arbitration. Except for claims that may be brought in small claims court, you and BaselineBook agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the use of the platform (including any question regarding the existence, validity, or termination of this arbitration agreement) shall be resolved exclusively through final and binding individual arbitration, rather than in court. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (available at www.adr.org). The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. You and BaselineBook each waive the right to a trial by jury and the right to participate in a class action, class arbitration, collective action, consolidated arbitration, private attorney general action, or any other representative proceeding. All disputes shall be resolved on an individual basis only.

Opt-out right. You may opt out of this arbitration agreement within thirty (30) days of creating your BaselineBook account by sending a written notice to baselinebook1@gmail.com with the subject line "Arbitration Opt-Out" and including your full name and the email address associated with your account. Opting out of this arbitration agreement does not affect any other provision of these Terms of Service.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

18. Termination

BaselineBook reserves the right to suspend or terminate any account, at any time, for any reason or no reason, with or without notice, including but not limited to violations of these Terms, suspected fraudulent activity, conduct that we believe creates a safety risk, or conduct that harms the platform or its users.

You may delete your account at any time by contacting us. Upon termination, your right to use the platform ceases immediately. Any pending bookings or obligations at the time of termination remain subject to these Terms. BaselineBook shall have no liability to you for any termination of your account.

19. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict-of-laws principles. To the extent that any dispute is not subject to arbitration under Section 17, you and BaselineBook consent to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for the resolution of such dispute.

20. Changes to These Terms

We may update these Terms of Service from time to time. If we make material changes, we will post the updated terms on this page with a revised "Last Updated" date. Your continued use of BaselineBook after any changes constitutes acceptance of the updated terms.
